Terms of Service

Thank you for using EduMind ("EduMind", “we”, or “us”). These Terms of Service (these "Terms of Service") set forth the terms and conditions upon which EduMind offers you access to (a) this website, located at https://PromiseInnoAI.com (the “Site”), and (b) the EduMind mobile application (the “App”), along with all content, features, functionality, and services offered on or through the Site and the App (the “Service”). If you do not agree to be bound by all the content in the Terms, do not access or use EduMind. If you are a minor, you should make sure that your parents (or guardians) read, understand and agree you to comply with the Terms in full before you start using EduMind. We reserve the right to modify or amend the Terms due to service adjustment or changes of relevant local laws and regulations. Please visit the Terms from time to time.

1. You Agree to These Terms by Using the Site

By accessing the Site or App or otherwise using the Service, you accept, without limitation, and agree to be bound by, these Terms of Service and our Privacy Policy (as such policy may be updated from time to time in accordance with the terms thereof, the “Privacy Policy”), which is hereby incorporated by reference into these Terms of Service. EduMind may, at any time and without notice, change or modify these Terms of Service by making the revised terms available on the Site. Your continued access to the Site or App or use of the Service constitutes your acceptance of any such revisions. You should therefore visit this page to review the current Terms of Service regularly. You will be deemed to have agreed to the amended Terms by your continued use of the Platforms following the date on which the amended Terms are posted. You may not modify these Terms of Service except in a writing signed by EduMind.

If you do not agree and accept, without limitation or qualification, these Terms of Service, you must exit the Site immediately and cease all use of the Site, App and Services.

2. Permitted Users

The Site, App and Services may be used by (i) natural persons who have reached 18 years of age and (ii) corporate legal entities (e.g., companies). Where applicable, these Terms shall be subject to country‑specific provisions as set out herein.

Users below the age of 18 must obtain consent from parent(s) or legal guardian(s), who by accepting these Terms shall agree to take responsibility for your actions and any charges associated with your use of the Platforms and/or purchase of Goods. If you do not have consent from your parent(s) or legal guardian(s), you must stop using/accessing the Site, App and Services immediately.

3. Permitted Use of the Site

The information and materials on the Site are provided for general informational purposes. You may use the Site solely for the purpose of learning about and/or purchasing the Service. You may not use, copy, reproduce, republish, upload, post, transmit, or distribute the text, graphics, downloads, tools or any other content on the Site for any other purpose.

4. Accessing the App and the Service; Account Security

4.1 Account Registration

You may visit the Site without registering, but in order to enjoy all content and benefits of the Site and to use the App and Service, you must register with EduMind through the process made available on the Site and App and become a registered user of the Service. To register and access the App and Service, you will be asked to provide certain registration details or other information to create an account. It is a condition of your use of the App and Service that all the information you provide on or through the App and Service is correct, current, and complete. You agree that all information you provide to register with the App or otherwise in connection with the Service, including but not limited to through the use of any interactive features on the Site or the App, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

4.2 Protection of Account Information

When you create a username, password, or any other piece of information as part of our registration process, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Site, App or Service, or any portion thereof, using your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your account. You should use particular caution when accessing your account from a public or shared device so that others are not able to view or record your password or other personal information. You should take reasonable measures to ensure the protection of your password and personal information, including the use of security features on your device and ensuring that your device is in a safe location at all times. EduMind will not be responsible for any losses arising out of the unauthorized use of your username, password, and/or account and you agree to indemnify and hold harmless EduMind, its officers, directors, employees, parents, subsidiaries, agents, affiliates and business partners and/or licensors, as applicable, for any improper, unauthorized, or illegal use of the same. You may not use a false e‑mail address, false phone number, false address, false name, impersonate any person or entity, or otherwise mislead as to your identity. If you provide any information that is inaccurate or incomplete, EduMind reserves the right to suspend or terminate your account and refuse any and all future use of the App and the Service by you at our sole discretion, at any time and without notice to you. You may cancel your account at any time by sending an email to us at contact@PromiseInnoAI.com.

4.3 Disabling of Accounts and Content

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Service. We reserve the right to withdraw or amend the Site, App, and any Service or content we provide on or through the Site or the App, in our sole discretion without notice. We will not be liable if for any reason, including but not limited to routine maintenance or technical problems, all or any part of the Site, App or Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Site or App, or the entire Site or App, to users, including registered users. By your continued use of the Site, App or Service, you understand and acknowledge that access to the Site, App or Service may be interrupted, suspended, terminated, or otherwise limited from time to time, and this in no way holds EduMind liable for any damages arising out of your access to the Site, App or the Service.

5. License; Restrictions; Reservation of Rights

5.1 Limited License

Subject to your compliance with these Terms of Service and upon registering with EduMind in accordance with Section 4, EduMind grants to you a limited, personal, non‑exclusive, non‑transferable license to use the Site and the App to access the Service solely for your own personal purposes during the term of these Terms of Service. Except for the licenses and rights expressly granted, no licenses or rights are granted to you by implication, estoppel, or otherwise.

5.2 License Restrictions

You may use the Site, App and Service only for lawful purposes and in accordance with these Terms of Service. You shall not:

Hypertext linking to the Site is permitted so long as the link does not portray EduMind, or its products and services, in a false, misleading, derogatory, or otherwise offensive matter. EduMind reserves the right to disable any link to any website that we believe contains inappropriate content or adversely affects EduMind’s goodwill. You may not use any EduMind logo or proprietary graphic or trademark as part of the link without express written permission.

5.3 Location

The Site, App and Service may be accessed from countries other than the Hong Kong Special Administrative Region (“Hong Kong”) and may contain services or references to services that are not available outside of Hong Kong. Any such references do not imply availability outside Hong Kong, and you are solely responsible for complying with applicable laws when accessing and using the Site, App and Service outside Hong Kong.

5.4 Intellectual Property Rights

5.4.1 EduMind retains all intellectual property rights in and to the Site, App and Service, and their entire contents, features, and functionality (including all information, software, text, displays, images, video, and audio, and the design, selection, and layout thereof), and all related documentation and interests (including copyrights, patents, service marks, trademarks, logos and other intellectual property rights), including any updates, enhancements, customizations, revisions, modifications, future releases and other changes. Except for rights specifically provided, you assign to EduMind all other intellectual property rights you may now or hereafter possess in the Site, App or Service and related documentation, and all derivative works and improvements thereof, and agree to execute documents and take actions necessary to confirm such rights. You agree to retain all proprietary notices that appear on the Site, App or Service and related documentation.

5.4.2 You may from time to time provide EduMind with suggestions, comments, recommendations and/or feedback regarding the Site, App or Service (“Feedback”). Any and all Feedback is given voluntarily. As between you and EduMind, all Feedback shall be exclusively owned by EduMind, and you hereby assign to EduMind all intellectual property rights therein and agree to execute documents and take actions necessary to confirm such rights. EduMind may use such Feedback without obligation or liability to you.

5.4.3 Except as expressly set forth herein or in the Privacy Policy, you (or your licensors) own all right, title, and interest in and to the End‑User Content. “End‑User Content” means data, information, images, audio or video recordings or other content uploaded to the Service through the App or otherwise provided by you. You grant EduMind a royalty‑free license to use, copy, and store the End‑User Content in connection with the Service or as otherwise described in these Terms (including the Privacy Policy). You (or other users to whom you have granted access) may elect to share your audio or video recordings (“Recordings”) with other users, but EduMind will not display such Recordings to other users or publicly disclose them without your consent.

6. Third‑Party Content, Sites, and Features

6.1 Third‑Party Content and Sites

EduMind may link to sites or applications operated by third parties (“Third‑Party Sites”) and make available content of third parties (“Third‑Party Content”). Even if affiliated with EduMind, we have no control over such sites or content. They may have separate terms and privacy policies. Inclusion does not imply association. You access them at your own risk. EduMind specifically disclaims responsibility if any Third‑Party Site or Content: infringes intellectual property; is inaccurate, incomplete or misleading; is not merchantable or fit for a purpose; lacks security; contains viruses; or is defamatory.

6.2 Third‑Party Features

The Site and App may provide social media features that enable you to: (a) link from your own or certain Third‑Party Sites to certain content; (b) send communications with certain content or links; or (c) cause limited portions of content to be displayed on your own or certain Third‑Party Sites (collectively, “Third‑Party Features”). You may use these only as provided by EduMind and in accordance with any additional terms. You must not: (w) link from any site not owned by you; (x) frame or deep‑link; (y) link to any part of the Site or App other than the homepage; or (z) take actions inconsistent with these Terms. We may disable social media features and links at any time without notice.

7. Warranties and Limitations of Liability

7.1 Limited Warranty

EduMind warrants that it will use commercially reasonable efforts to cause the App and the Service to operate in substantial conformance with their published documentation. EduMind’s sole obligation and your sole remedy for any failure to substantially conform is for EduMind to use commercially reasonable efforts to remedy such failure as soon as reasonably practicable, and if not remedied in a reasonable time, for you to terminate these Terms pursuant to Section 9.2.

7.2 Open Source Software

Certain software used by the Site, App and Service may be subject to open‑source or similar licenses (“Open Source Software”). To the extent required by any license for particular Open Source Software, EduMind will make such software, and as applicable our modifications, available by written request at contact@PromiseInnoAI.com.

7.3 End‑User Content

EduMind does not and cannot review all End‑User Content and cannot guarantee its accuracy, integrity or quality. EduMind reserves the right to block or remove End‑User Content that it determines to be unacceptable in its sole discretion. You may not upload or publish End‑User Content that is unlawful, infringing, obscene, threatening, invasive of privacy, abusive, deceptive, or otherwise objectionable. By submitting End‑User Content, you represent and warrant, among other things, that you own or have rights to the content, it does not infringe others’ rights or violate law, it is accurate and complete, complies with these Terms and our Policies, contains no harmful code, and is not submitted for commercial activities or promotions or for consideration from third parties.

7.4 Warranty Disclaimers

7.4.1 We cannot and do not guarantee that files available for downloading from the internet or the Site, App and Service will be free of viruses or other destructive code. You are responsible for implementing procedures to satisfy your requirements for anti‑virus protection and accuracy of data input/output, and for maintaining external means for reconstructing lost data. To the fullest extent provided by law, we will not be liable for any loss or damage caused by distributed denial‑of‑service attacks, viruses, or other harmful material due to your use of the Site or App or any Service or to your downloading or use of any material posted or linked.

7.4.2 Except as set forth in Section 7.1, the Platforms are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. EduMind disclaims all warranties, including implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the Site, App or Service will operate without interruption or error, or that all failures can or will be corrected, or that content processed will be accurate, complete, reliable, or secure, or that the Service will meet your needs or expectations.

7.5 Limitations of Liability

In no event shall EduMind be liable for lost profits or business, loss of goodwill, loss of data, interruption of business, or for any exemplary, punitive, special, indirect, incidental or consequential damages, regardless of theory and even if advised of the possibility. The aggregate liability of EduMind for any and all claims shall not exceed $500.

To the extent permitted by law, EduMind (including employees, directors, agents, representatives, affiliates and parent company) exclude all liability for loss or damage you or any third party may incur in connection with our Site, App or Service, and any website linked to them and any content posted on them. Your exclusive remedy is to discontinue use. These exclusions include, without limitation, damages for lost profits, lost data, loss of goodwill, work stoppage, computer failure or malfunction, or other commercial damages or losses, even if advised of the possibility and regardless of theory. Because some jurisdictions do not allow exclusion or limitation of consequential or incidental damages, liability shall be limited to the extent permitted by law.

7.6 Essential Part of the Bargain

The parties acknowledge that the disclaimers and limitations in this Section 7 are an essential element of these Terms and the parties would not have entered into these Terms without them.

8. Indemnification; Unauthorized Use

8.1 Indemnification

You agree to defend, indemnify, and hold harmless EduMind, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to (a) your violation of these Terms, including any use of the Site’s or App’s content, services, and products other than as expressly authorized, or (b) End‑User Content you provide.

8.2 Notification of Unauthorized Use

You shall promptly notify EduMind in writing upon discovery of any unauthorized use or infringement of the Site, App, Service, related documentation, or EduMind's intellectual property rights. EduMind shall have the sole right to bring an infringement action or proceeding, and you shall cooperate and provide information and assistance in connection with any such action.

9. Termination

9.1 Termination

EduMind may terminate your use of the App and Service at any time. You may terminate your use at any time by cancelling your account by contacting EduMind at contact@PromiseInnoAI.com and uninstalling the App.

9.2 Effect of Termination

Upon termination of your access, all license rights under these Terms shall cease and you shall promptly cease all use and uninstall the App.

10. General

10.1 Typographical Errors. If a service or product is mistakenly listed at an incorrect price or with incorrect specifications, EduMind reserves the right to refuse or cancel any orders placed for such product or service. If your card has already been charged and your order is cancelled, EduMind shall issue you a credit in the amount of the incorrect price.

10.2 Independent Contractors. The parties act as independent contractors. Neither party is an agent, legal representative, joint venturer or partner of the other.

10.3 Force Majeure. If EduMind is unable to perform due to acts of God, strikes, equipment or transmission failure, internet unavailability or poor performance, or other causes reasonably beyond its control, EduMind shall not be liable.

10.4 Governing Law and Jurisdiction. These Terms are governed by the laws of Hong Kong. The parties agree to the exclusive jurisdiction of the Hong Kong courts.

10.5 Public Statements. Either party may disclose the existence of these Terms but may not represent positions, statements, intentions or other actions on behalf of the other.

10.6 Assignment. You may not assign rights or delegate duties without EduMind’s prior written consent. Any purported assignment is void. These Terms bind and benefit permitted successors and assigns.

10.7 Notices. Notices shall be in writing and deemed effective when delivered by hand, reputable overnight delivery, or certified mail (return receipt requested), postage prepaid, to: (a) EduMind at the address set forth on the EduMind website to the attention of Legal; and (b) you at the address in your account information.

10.8 Entire Agreement; Amendment. These Terms constitute the entire agreement and supersede all prior understandings regarding the subject matter. They may not be amended except by a writing signed by both parties.

10.9 Waiver and Severability. A waiver of any breach is not a waiver of any other breach. If any provision is held invalid, illegal or unenforceable, it shall be limited to the minimum extent necessary so the remaining provisions continue in full force and effect.

10.10 Copyright Notice and Complaints.

10.10.1 All content (other than End‑User Content) included in the Site or App, including designs, text, graphics, logos, images, audio and video clips, data compilations, and software, is the property of EduMind or its content suppliers and protected by international copyright laws. Permission is granted to electronically copy and to print portions for the sole purpose of placing an order, using the Service, or using the Site or App as a resource. Any other use without prior written permission is strictly prohibited. You agree not to change or delete proprietary notices from materials printed or downloaded.

10.10.2 EduMind respects the intellectual property of others. If you believe your work has been copied in a way that constitutes copyright infringement, please contact us at contact@PromiseInnoAI.com.
